Terms & Conditions for
Environmentarian Services

1. General Agreement

By engaging Environmentarian (“E.”), you agree to the following terms and conditions. These terms govern the provision of all services offered by E. and apply to all quotes, invoices, and engagements.

2. Scope of Services

E. provides business and web development services with the utmost care, applying our best abilities and current knowledge of systems and markets. While we make every effort to stay updated with market trends and technological changes, these areas evolve rapidly, and we cannot guarantee immunity from unforeseen circumstances or external influences.

3. Performance Standards

E. is committed to delivering high-quality services aimed at empowering clients to thrive in the online marketplace. All work is carried out with diligence, professionalism, and adherence to agreed-upon project scopes.

4. Limitations of Liability

To the maximum extent permitted by law, E’s total liability for any claim arising from or in connection with our services, whether in contract, tort, or otherwise, is limited to the total fees paid by the client for the specific service giving rise to the claim.

Environmentarian will not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunity, arising from the use of our services or from changes in systems, technologies, or market conditions beyond our control.

Clients are encouraged to maintain their own risk management strategies, backups, and independent professional advice where applicable.

5. Client Responsibilities

To ensure the success of any project or service, clients must provide accurate and timely information, approvals, and access to relevant systems. Delays or inaccuracies in client input may impact project timelines and deliverables.

6. Changes to Scope

Requests for additional services or changes to the agreed scope may incur additional costs. E. will provide a revised quote or scope document for approval before proceeding with any changes.

7. Intellectual Property

Unless otherwise agreed in writing, all intellectual property created by E. during the course of a project will transfer to the client upon full payment of all fees. E. retains the right to use anonymised and non-identifiable project elements for portfolio purposes.

8. Force Majeure

Environmentarian will not be liable for any delay, failure to perform, or interruption to services caused by circumstances beyond our reasonable control. This includes, but is not limited to, outages or failures of third-party platforms and infrastructure (such as hosting providers, social media platforms, payment processors, or software/plugin providers), internet or telecommunications outages, natural disasters, power failures, and other events outside our direct control.

Where such an event occurs, we will make reasonable efforts to restore services as soon as practicable, but accept no liability for loss or damage arising from the disruption itself.

9. Payment Terms

Payment options and terms are outlined in all quotes and invoices. Depending on the service, full or partial payment may be required upfront. Work will only commence once funds have cleared—not simply when payment is made.

Failure to adhere to payment terms may result in service delays or suspension.

  • Quote Validity: Quotes are valid for 30 days from the date issued.

  • Late Payment: Invoices unpaid after 30 days will incur a 5% follow-up fee.

Environmentarian (operated by Jeremy Thomas, a Sole Trader) is registered for GST.

Credit Card (via Stripe)

    • No surcharge for invoices under $250

    • For invoices over $250, a 2% admin fee applies.
      Please email accounts@environmentarian.au for an updated invoice if needed.

10. Confidentiality

E. respects client confidentiality and takes reasonable steps to protect sensitive information. Clients agree to reciprocate by not disclosing E.’s proprietary methods or trade secrets.

11. Termination of Services

Either party may terminate services with written notice, subject to the terms of any active agreements. Any work completed up to the date of termination will be billed accordingly.

12. Governing Law

These terms are governed by the laws of Australia, and any disputes will be resolved under the exclusive jurisdiction of the courts in that region.

13. Amendments

E. reserves the right to update these terms and conditions as necessary. Clients will be notified of significant changes, and the latest version will be available on our website.

14. Contact Details

E. will not share your contact details with third parties without your prior consent. However, we may use the email address you provide to send updates regarding our Terms and Conditions, newsletters and other relevant communications.
